By accessing or using RiskPulse AI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These terms constitute a legally binding agreement between you and RiskPulse AI. Your continued use of our services constitutes acceptance of any modifications to these terms.

Service Description and Availability

RiskPulse AI provides AI-powered churn prediction and customer risk management services through our cloud-based platform. Our services include predictive analytics, account health scoring, and automated customer success workflows.

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service availability. Scheduled maintenance and updates may temporarily affect service availability, for which we will provide advance notice when possible.

User Accounts and Registration

To access our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that violate these terms or pose security risks.

Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these terms. You may not use our services to transmit harmful, offensive, or illegal content, or to violate the rights of others.

Prohibited activities include but are not limited to: attempting to gain unauthorized access to our systems, interfering with service operation, transmitting malware or viruses, and using our services for competitive intelligence gathering.

Data Ownership and Usage Rights

You retain ownership of all data you upload to our platform. By using our services, you grant us a limited license to process your data solely for the purpose of providing our services and generating insights for your use.

We may use aggregated, anonymized data for service improvement and research purposes, but will never share your specific customer data with third parties without your explicit consent.

Intellectual Property Rights

RiskPulse AI and its licensors own all rights, title, and interest in our services, including all software, algorithms, models, and related intellectual property. These terms do not grant you any ownership rights in our platform or services.

You may not copy, modify, distribute, sell, or lease any part of our services, nor may you reverse engineer or attempt to extract the source code of our software, unless expressly permitted by law.

Payment Terms and Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected during registration. All fees are non-refundable except as expressly stated in these terms or required by applicable law.

We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewal periods.

Service Level Agreement

We commit to maintaining 99.9% monthly uptime for our core services, excluding scheduled maintenance windows. If we fail to meet this commitment, you may be eligible for service credits as outlined in your subscription agreement.

Our support team is available during business hours (9 AM - 6 PM PST, Monday through Friday) for standard support requests, with priority support available for enterprise customers.

Limitation of Liability

To the maximum extent permitted by law, RiskPulse AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RiskPulse AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Termination and Suspension

Either party may terminate the service agreement at any time with 30 days' written notice. We may immediately suspend or terminate your access if you violate these terms or engage in activities that harm our services or other users.

Upon termination, your access to our services will cease, and we will delete your data according to our data retention policy, unless legally required to retain it.

Privacy and Data Protection

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. We are committed to protecting your privacy and complying with applicable data protection laws.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.

You waive any right to participate in class action lawsuits or class-wide arbitrations against RiskPulse AI.

Governing Law

These terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in San Francisco, California.

Modifications to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting updated terms on our website and sending email notifications to registered users at least 30 days before the changes take effect.

Your continued use of our services after the effective date of any changes constitutes acceptance of the modified terms.
